    Bank Suisse, a bank organized and existing under the laws of Switzerland,
is an indirect wholly-owned subsidiary of ML & Co., Inc. and is treated,
pursuant to a "no action" letter issued to ML&Co. dated November 24, 1993
from the staff of the Division of Corporation Finance of the Securities and
Exchange Commission, as an institutional investor within the meaning of
(S) 240.13d-1(b) (1) (ii) (A)-(G) for purposes of Schedule 13G reporting.
